A lot has been said and heard about termsheets offered by investors, much of it being (wrongly) perceived as an instrument to corner gullible entrepreneurs by clever VCs. So, Anand Lunia, CFO of SeedFund did a tutorial on the basics of Termsheets at Startup Saturday Mumbai during the past weekend.

The Google/Digg acquisition negotiations were in full swing as of last Tuesday, had passed the term sheet stage and the two companies were in final negotiations in the $200 million range. But sometime this last week Google decided to walk from the deal. Digg was notified on late Thursday or Friday.

So, say its your first time and a term sheet is put on the table, yes! a deal is in play, but…now what, what next, what should I focus on?
